Kafelaku Coffee Holding Limited has amended the terms of its ongoing share placement under the existing general mandate, simultaneously extending the long-stop date and lifting the placing price.

The long-stop date—originally set for 2 September 2026—has been postponed to 23 September 2026 (or a later date subject to mutual agreement with the placing agent) to allow additional time for satisfying the placement’s conditions precedent.

The placing price has been revised upward from HK$0.039 to HK$0.041 per share. The new level represents an 18.0% discount to the HK$0.050 closing price on the day the supplemental agreement was signed and an 18.33% discount to the five-day average closing price of HK$0.0502.

Reflecting the higher price, the gross fundraising target has increased from approximately HK$11.00 million to about HK$11.60 million. Placement expenses are estimated at roughly HK$0.23 million, implying a net placing price of close to HK$0.040 per share.

All other provisions of the original placing agreement remain unchanged. Completion remains contingent upon fulfillment of the agreed conditions, and the company has cautioned shareholders and potential investors that the transaction may or may not proceed.
