Mongolian Mining trims share count by 0.87% in August amid buy-backs; option exercises add HK$11.04 million

For the month ended 31 August 2026, Mongolian Mining Corporation (MMC) reported the following share-capital movements to Hong Kong Exchanges and Clearing Limited:

1. Issued Share Capital • The company’s issued ordinary shares (excluding treasury shares) fell by 8.96 million to 1.03 billion, a 0.87% month-on-month decline. • Authorised capital remained unchanged at 1.50 billion shares (USD 150.00 million at USD 0.10 par value).

2. Share Buy-backs • MMC cancelled 12.35 million shares through two on-market repurchases executed on 10 and 13 August 2026. – 11.75 million shares were repurchased at HK$6.6468 each. – 0.60 million shares were repurchased at HK$6.8419 each. • The combined cash outlay for August buy-backs is estimated at HK$82.19 million.

3. Share Option Exercises • 3.39 million new shares were issued upon the exercise of options under the HK$3.26 scheme, generating HK$11.04 million in proceeds. • Post-transaction, 11.86 million options remain outstanding under this scheme, while 41.88 million options are outstanding under the HK$7.134 scheme.

4. Outstanding Equity Instruments • Unexercised options represent a potential 53.73 million new shares, equivalent to 5.24% of the current issued share capital. • No warrants, convertibles, or treasury-share transfers were reported.

5. Public Float MMC confirmed compliance with the 22.3% minimum public-float requirement as at 31 August 2026.

After factoring in option exercises and share cancellations, MMC closed August with 1.03 billion shares in issue and no treasury shares on hand.
