Hong Kong-listed Dmall Inc. reported minimal changes in its share structure for the month ended 31 August 2026, according to its latest monthly return filed with the Hong Kong Stock Exchange.

Authorised Share Capital • Authorised ordinary shares remained unchanged at 2.50 billion, carrying a par value of USD 0.0001 each. • Total authorised share capital stayed at USD 0.25 million.

Issued and Treasury Shares • Total issued shares (including treasury) held steady at 937.51 million. • Shares in public hands (excluding treasury) edged down by 0.07 million to 866.00 million, reflecting a repurchase of 70,900 shares on 5 June 2026 that moved into treasury during August. • Treasury shares therefore increased to 71.51 million.

Public Float Compliance • The company confirmed compliance with the Main Board’s 25 % minimum public float requirement as at 31 August 2026.

Equity-Based Incentive Plans • No shares were issued and no treasury shares were transferred under existing share option schemes during the month. • Outstanding options totalled 60.21 million, spanning three active plans: – 2016 Share Incentive Plan: 28.26 million options outstanding (exercise price USD 0.50-1.50). – 2020 Share Incentive Plan: 26.40 million options outstanding after 1.02 million cancellations (exercise price USD 1.50-2.716). – 2024 Second Share Incentive Plan: 5.54 million options outstanding after 0.13 million lapses. • Potential shares issuable through restricted share units under the 2020 plan stood at 3.88 million.

Capital-Raising Instruments • The company had no warrants, convertible instruments or other share-issuance agreements in effect during the period. • No proceeds were generated from option exercises in August.

Overall, Dmall’s August activity was limited to a small share buy-back, leaving its aggregate share count intact while slightly increasing treasury holdings and maintaining full public float compliance.
