KORE US REIT Secures 120 million US dollar Loan with Change-of-Control Clause

KORE US REIT Management Pte. Ltd. announced that Perpetual (Asia) Limited, acting as trustee of KORE US REIT, has signed a facility agreement dated Sep, 9 2026 for a three-year term loan facility totaling 120 million US dollars.

Under the agreement, the borrower must repay all outstanding amounts within ten business days if (i) the manager ceases to manage the REIT or (ii) Keppel Ltd. (together with specified affiliates) no longer owns all of the manager’s shares. Either situation would constitute a “Mandatory Prepayment Event.”

The manager said about 862.5 million US dollars of financing, including the new loan, could be affected by cross-default provisions should a Mandatory Prepayment Event occur.

As of the announcement date, no such event has taken place.
