Beisen Implements Minor Share Option Issue and HK$1.08 Million Buyback on 8 September 2026

Beisen Holding Limited disclosed a marginal adjustment to its share capital through a Next Day Disclosure Return filed on 8 September 2026 with the Hong Kong Stock Exchange.

Key changes on 8 September 2026 • New-share issuance: 20,000 ordinary shares were allotted under the company’s Pre-IPO Share Option Plan (adopted on 15 July 2019). The issue price was HKD 0.75361 per share, increasing Beisen’s issued share base by 0.0028%. • Share repurchase: 350,000 ordinary shares were bought back on-market at prices between HKD 3.07 and HKD 3.12, for a volume-weighted average of HKD 3.10, resulting in a total cash outlay of HKD 1.08 million. All repurchased shares are being held in treasury.

Capital structure after the transactions • Issued shares (excluding treasury shares): 721.40 million, down 0.05% from 721.73 million. • Treasury shares: 16.68 million, up from 16.33 million. • Total shares on issue (including treasury shares): 738.08 million, broadly unchanged from 738.06 million.

Repurchase mandate utilisation • The buyback forms part of the authority granted on 18 September 2025, which permits repurchases of up to 70.12 million shares. • Cumulative repurchases under this mandate now total 21.45 million shares, equivalent to 3.06% of the company’s issued shares at the mandate date. • In line with Hong Kong listing rules, Beisen is restricted from issuing new shares or disposing of treasury shares until 8 October 2026.
