Silver Grant International Holdings Group Limited reported that every item on the agenda of its 29 June 2026 Annual General Meeting was approved by shareholders through poll voting. Tricor Investor Services Limited acted as scrutineer.
The meeting covered 2.30 billion issued shares, all of which were eligible to vote. Approximately 1.13 billion votes were cast on each resolution, representing the shares present in person or by proxy.
Key outcomes:
• Financial Statements: The audited consolidated results for the year ended 31 December 2025, together with the directors’ and independent auditor’s reports, were endorsed with 99.97% support.
• Board Composition: – Executive Director Weng Jian was re-elected with unanimous approval. – Independent Non-executive Directors Zhang Lu and Hung Muk Ming were re-elected, receiving 99.97% and 100% of votes in favour, respectively. – The Board was authorised to determine directors’ remuneration with 100% approval.
• Auditor Re-appointment: Zhonghui Anda CPA Limited was re-appointed as external auditor until the next AGM, backed by unanimous votes, and the Board may fix their remuneration.
• Capital Management Mandates: – A share buy-back mandate of up to 10% of issued shares (excluding treasury shares) received 100% approval. – An issuance mandate allowing the Board to allot and issue new shares up to 20% of the issued share capital was also passed unanimously. – Shareholders further approved extending the issuance mandate by the amount of shares repurchased under the buy-back mandate.
Attendance: All directors were present except Chen Yongcun and Zhang Lu.
