Golden Power’s Upcoming AGM to Vote on 20% Issuance Mandate, 10% Share Buy-Back, Board Re-election and Charter Upgrade

Golden Power Group Holdings Limited has released its 2026 AGM circular detailing five key proposals for shareholder approval on 21 May 2026 in Sha Tin, Hong Kong.

1. Capital Mandates • Issue Mandate: Directors seek authority to allot and deal with up to 6.48 million new shares, representing 20% of the 32.40 million shares in issue as at 14 April 2026. • Repurchase Mandate: Directors request approval to buy back up to 3.24 million shares, or 10% of issued share capital. Both mandates will remain valid until the next AGM, expiration of the statutory period, or revocation by shareholders—whichever occurs first.

2. Board Composition Executive Director Tang Chi Him and Independent Non-executive Directors Kan Man Kim and Wong Ka Chun Matthew will retire by rotation and stand for re-election. The Nomination Committee recommends their return, citing relevant manufacturing, HR and finance expertise.

3. Auditor PKF Hong Kong Limited is nominated for re-appointment for the financial year ending 31 December 2026.

4. Constitutional Amendments Shareholders will consider the adoption of a Second Amended and Restated Memorandum and Articles of Association to: • permit hybrid and fully electronic general meetings, • streamline electronic communication and voting procedures, and • align with the Hong Kong Stock Exchange’s Core Shareholder Protection Standards effective 1 July 2025.

5. Administrative Details • Register closure: 18–21 May 2026 (both dates inclusive); share transfers must be lodged by 4:30 p.m. on 15 May 2026 for AGM eligibility. • Proxy forms must reach Tricor Investor Services Limited no later than 48 hours before the meeting.

The board recommends voting in favour of all resolutions, stating that the proposals are in the best interests of Golden Power and its shareholders.
