XIAO NOODLES Maintains 710.69 Million Outstanding H-Shares; Cumulative Buy-Backs Reach 19.65 Million Units

Guangzhou Xiao Noodles Catering Management Co., Ltd. (“Xiao Noodles”) filed a Next Day Disclosure Return for 1 September 2026, confirming no change in its total issued H-shares, which remain at 710.69 million. However, the company continues to execute an active share-repurchase programme, adding 4,500 shares on 1 September at HKD 4.00–4.04 each for a total consideration of HKD 0.02 million.

Since the current financial year began in February 2026, Xiao Noodles has repurchased 19.65 million H-shares for cancellation that, as of 1 September, were still awaiting formal cancellation. This volume equals approximately 2.77 % of the company’s outstanding share count.

Under the repurchase mandate approved on 25 June 2026—which authorises buy-backs of up to 71.07 million shares—Xiao Noodles has so far acquired 2.33 million shares, representing 0.33 % of the shares outstanding on the mandate date, leaving a remaining capacity of roughly 68.73 million shares (about 9.67 % of issued capital).

Repurchases during the period were executed on the Hong Kong Stock Exchange at prices ranging between HKD 3.06 and HKD 5.96 per share. The most recent 4,500-share transaction on 1 September triggered a 30-day moratorium—effective until 1 October 2026—during which the company cannot issue new shares or sell treasury shares without prior Exchange approval.

All repurchases were authorised by the board, funded in accordance with regulatory requirements, and carried out in full compliance with Hong Kong listing rules and applicable laws.
