Excelland Robotics (Wuxi) Co. Ltd. announced that its board of directors approved the Terms of Reference for a newly formed Strategy Committee on 7 August 2026. The committee is designed to sharpen the Group’s strategic focus, oversee major investments, and formalize environmental, social and governance (ESG) governance at the board level.
Key features of the Strategy Committee include:
• Mandate and Scope: The three-member committee will formulate and evaluate the Group’s long-term development plans, review major investment and financing proposals, assess capital operations and asset management projects, and supervise overall ESG performance. All proposals and resolutions will be submitted to the full board for final approval.
• Composition and Tenure: The committee will comprise three directors, including a chair appointed by the board. Members are nominated by the board chairman, a majority of independent directors, or at least one-third of all directors, and serve concurrent terms with the board, with eligibility for re-election.
• ESG Integration: A dedicated working group under the committee will advance the Group’s ESG policies, targets and initiatives. Members of this working group are not required to sit on the committee, ensuring broader organizational participation.
• Governance Processes: The committee must convene at least one regular meeting per year, with additional sessions as needed. Quorum requires two-thirds attendance, and resolutions pass by majority vote. Meeting minutes will be archived by the board secretary, and all participants are bound by confidentiality obligations.
• External Expertise: The committee may engage professional intermediaries to obtain independent advice, with related expenses borne by the Company.
