Key proposed resolutions include:
1. Capital Mandates • Issue Mandate: Directors request authority to allot and issue up to 92.24 million new shares, representing 20% of the 461.21 million shares in issue as of 1 September 2026. • Repurchase Mandate: Authority sought to buy back up to 46.12 million shares, or 10% of the current share capital. Purchased shares may be cancelled or held in treasury.

As of the latest practicable date, Zhuangyan Investment International Limited holds 73.18% of issued shares. Exercise of the full buy-back mandate would raise its stake to 81.31%, but would not trigger a mandatory offer under Hong Kong’s Takeovers Code.
Proxy forms must reach Boardroom Share Registrars (HK) Limited at least 48 hours before the meeting. All AGM resolutions will be decided by poll.
