Golden Power Group Sets 21 May 2026 AGM to Approve FY 2025 Accounts, Board Re-elections and Share Issuance Mandates

Golden Power Group Holdings Limited will convene its annual general meeting on 21 May 2026 at Hyatt Regency Hong Kong, Sha Tin. Shareholders will vote on seven resolutions:

1. FY 2025 financial statements • Adoption of the audited consolidated results and the reports of directors and the independent auditor for the year ended 31 December 2025.

2. Auditor re-appointment • Renewal of PKF Hong Kong Limited as auditor, with the board authorised to determine remuneration.

3. Board composition and remuneration • Re-election of executive director Tang Chi Him. • Re-election of independent non-executive directors Kan Man Kim and Wong Ka Chun Matthew. • Authorisation for the board to set directors’ remuneration.

4. General mandate to issue shares • Directors may allot, issue or deal with shares and convertible securities up to 20% of the company’s issued share capital, excluding treasury shares, until the next AGM or earlier revocation.

5. Share repurchase mandate • Authority for on-market buy-backs of up to 10% of issued shares, excluding treasury shares, valid until the next AGM or earlier revocation.

6. Extension of issue mandate • Conditional on the above mandates passing, the share issuance limit will be increased by the number of shares repurchased under the buy-back mandate.

7. Amendments to constitutional documents • Approval and adoption of a second amended and restated Memorandum and Articles of Association to incorporate proposed updates, with directors and the registered office provider authorised to handle requisite filings in Hong Kong and the Cayman Islands.

Key administrative details • Shareholders must lodge transfer documents by 4:30 p.m. on 15 May 2026 to qualify for meeting attendance and voting; the register will be closed from 18 to 21 May 2026. • Proxy forms must be deposited at Tricor Investor Services Limited no later than 48 hours before the meeting. • Contingency arrangements are set for severe weather, with any postponement to be announced on the company and HKEXnews websites.

As of the notice date (24 April 2026), the board comprises executive directors Chu King Tien (chairman), Chu Shuk Ching, Tang Chi Him and Chu Ho Wa, and independent non-executive directors Tang Sze Ning Erica, Kan Man Kim and Wong Ka Chun Matthew.
