Ling Yue Services Group Limited disclosed that Independent Non-Executive Director (INED) and Audit Committee chairlady Ms. Zou Dan resigned, effective 30 April 2026, citing personal health reasons.
The departure reduces the Board’s INED count to two—below the Hong Kong Stock Exchange’s (HKEX) minimum requirement of three under Listing Rule 3.10—and leaves the Audit Committee with fewer than the mandated three members stipulated in Rule 3.21. In addition, the Board now lacks an INED possessing the requisite professional accounting or financial expertise, further breaching both Rules 3.10 and 3.21.
Under Listing Rule 3.10A, INEDs must represent at least one-third of the Board. Following Ms. Zou’s exit, Ling Yue Services also fails to satisfy this proportion.
Management stated that a search is under way to appoint a qualified INED within three months from 30 April 2026 to restore full compliance. The Board expressed appreciation for Ms. Zou’s contributions and confirmed that she has no disagreements with the Board and is unaware of any matters requiring shareholder attention.
As of the announcement date, the Board comprises six directors: two executive directors (Mr. Liu Yuqi, Ms. Luo Hongping), two non-executive directors (Ms. Wang Tao, Ms. Hou Sanli) and two INEDs (Ms. Luo Ying, Mr. Hu Ning). The chairman is Mr. Liu Yuqi.
