Xiaomi Corporation disclosed several capital-market transactions on 8 September 2026 under its latest Next Day Disclosure Return to the Hong Kong Stock Exchange.
Share issuance • 11,000 Class B weighted-voting-right ordinary shares were allotted on 8 September under an employee share scheme at HKD 2.70 per share. • The issue lifted Class B shares in issue to 21,330,037,059, an immaterial 0.00004 % increase from the 21,330,026,059 outstanding on 7 September.
Share repurchase activity • On 8 September the company repurchased 3,038,600 Class B shares on the Exchange at prices between HKD 26.72 and HKD 27.10, spending HKD 82.02 million. • Between 21 July and 8 September, Xiaomi bought back a cumulative 29.17 million shares that are pending cancellation. Individual daily repurchases ranged from 362,000 to 3.04 million shares, executed at volume-weighted average prices of HKD 25.68–28.72.
Repurchase mandate utilisation • Shareholders authorised a maximum buyback of 2.58 billion shares on 2 June 2026. • Aggregate repurchases under this mandate now stand at 112.79 million shares, equivalent to 0.44 % of the company’s issued share capital on the mandate date. • Following the latest transaction, Xiaomi is restricted from issuing new shares until 8 October 2026, in line with Hong Kong Listing Rule 10.06(3)(a).
Capital structure snapshot • Total issued shares (excluding treasury shares) as of 7 September 2026: 25.76 billion, comprising 4.43 billion Class A and 21.33 billion Class B shares. • Treasury-share balance remained nil; all shares repurchased are intended for cancellation.
Governance confirmation Xiaomi’s board affirmed that all share issues and repurchases were duly authorised and executed in compliance with Hong Kong Listing Rules and applicable regulations.
