Bank of Jiujiang Secures 100% Shareholder Support to Cancel Sub-Authorizations at 2026 Third EGM

Bank of Jiujiang Co., Ltd. (Bank of Jiujiang) announced that its 2026 third Extraordinary General Meeting (EGM), Domestic Shareholders Class Meeting and H Shareholders Class Meeting—held consecutively on 7 September 2026 in Jiujiang, Jiangxi—approved a special resolution to cancel certain sub-authorizations previously granted to relevant persons.

Meeting Attendance and Voting Power • Total issued share capital on the EGM record date stood at 2.85 billion shares, comprising 2.37 billion Domestic Shares and 482.37 million H Shares. • Shareholders and proxies holding 1.77 billion shares attended the EGM in person or by proxy. • Voting rights attached to 33.54 million shares were restricted in accordance with regulatory requirements and the Articles of Association.

Key Shareholder Abstentions • Jiujiang Finance Bureau (406.02 million Domestic Shares, 14.26% of total share capital) and Industrial Bank (294.40 million Domestic Shares, 10.34%) abstained from voting, as required by relevant rules.

Voting Results 1. Extraordinary General Meeting – Votes in favour: 1.07 billion (100%) – Votes against / abstentions: 0 The special resolution on cancelling sub-authorizations was passed.

2. Domestic Shareholders Class Meeting – Votes in favour: 1.01 billion (100%) – Votes against / abstentions: 0 The resolution was approved.

3. H Shareholders Class Meeting – Votes in favour: 59.24 million (100%) – Votes against / abstentions: 0 The resolution was approved.

Governance and Compliance The meetings were chaired by Chairman Zhou Shixin and complied with PRC laws, regulations and the bank’s Articles of Association. Computershare Hong Kong Investor Services Limited, Jiangxi Chai Sang Law Firm and two shareholder representatives acted as scrutineers, confirming the validity of the poll results.

Board Composition As of 7 September 2026, the board comprised 10 directors: two executive directors (Zhou Shixin, Xiao Jing), four non-executive directors (Luo Feng, Shi Zhishan, Zhou Miao, Liu Yinan) and four independent non-executive directors (Wang Wanqiu, Zhang Yonghong, Tian Li, Guo Jiequn).
