Neway Group: No Share Capital Changes in July 2026, Public Float Remains Compliant

Neway Group Holdings Limited (incorporated in Bermuda with limited liability) filed its Monthly Return for the period ended 31 July 2026 with Hong Kong Exchanges and Clearing Limited on 3 August 2026. Key disclosures are as follows:

• Share capital unchanged: Authorised share capital stayed at 50.00 billion ordinary shares with a par value of HKD 0.01, representing authorised capital of HKD 500.00 million. Issued share capital remained at 253.36 million ordinary shares; there were no treasury shares.

• Zero issuance or repurchase activity: The company recorded no increases or decreases in either issued shares or treasury shares during the month. Consequently, no funds were raised.

• Public-float compliance: As at 31 July 2026, Neway Group confirmed compliance with the Main Board’s minimum 25% public-float requirement.

• Share option scheme status: Under the share option scheme adopted on 20 June 2023, no options were outstanding or exercised during the month. The scheme still allows for up to 25.34 million shares to be issued upon future grants and exercises.

• No other equity-linked instruments: There were no warrants, convertible securities, or other arrangements outstanding or exercised in July 2026.

The monthly return was authorised and submitted by Director Mr Suek Ka Lun Ernie, affirming adherence to all applicable listing rules and regulatory requirements.
