ZHIDA TECH Shareholders Approve Independent Director Pay Adjustment with 87% Support

Shanghai Zhida Technology Development Co., Ltd. (ZHIDA TECH) announced that its Second Extraordinary General Meeting for 2026, held on 8 September 2026 in Shanghai, passed the sole resolution on the agenda—an adjustment to the remuneration of independent non-executive directors (INEDs).

Shareholder turnout reached 155.63 million H shares, representing 48.93% of ZHIDA TECH’s 318.07 million H shares outstanding. The proposal secured 135.49 million votes in favor (87.06%) versus 20.14 million votes against (12.94%); no abstentions were recorded. Exceeding the simple-majority threshold, the motion was carried as an ordinary resolution.

No shareholders were required to abstain, and there were no treasury or repurchased shares pending cancellation. Computershare Hong Kong Investor Services Limited acted as the scrutineer for the poll.

Executive Directors Dr. Huang Zhiming and Mr. Li Xinrui, together with Independent Non-Executive Directors Ms. Wu Yushan and Dr. Lu Ming, attended the meeting in person or via video link.
