XXF Reports Stable Share Capital in August; Confirms Public Float Compliance

XXF Group Holdings Limited released its Monthly Return for the period ended 31 August 2026, indicating a steady capital structure with no new share issuance or buy-backs during the month.

The company’s authorised share capital remained unchanged at 12.00 billion ordinary shares with a par value of HKD 0.003333333333, equivalent to HKD 40.00 million.

Issued share capital was also unchanged. XXF closed August with 1.86 billion ordinary shares in issue and no treasury shares. The Group affirmed that it continues to meet the Main Board’s minimum public-float requirement of 25%.

Under the Pre-IPO Share Option Scheme adopted on 9 October 2023, 0.30 million options lapsed, reducing outstanding options to 94.89 million. No options were exercised, and consequently no new shares were issued and no funds were raised. The company’s second Share Option Scheme, also adopted on 9 October 2023, had no options outstanding as at month-end but provides capacity to issue up to 154.69 million shares in future.

The report confirms that XXF had no outstanding warrants, convertible securities, other share-based agreements, or movements in treasury shares during the month.
