New Vision Automotive Calls 28 Sep EGM to Scrap Supervisory Committee, Revise Articles and Skip 2026 Interim Dividend

Jiangsu New Vision Automotive Electronics Co., Ltd. (New Vision Automotive; HKEX: 02632) has issued a circular to convene an Extraordinary General Meeting (EGM) on 28 September 2026 at 10:00 a.m. in Shanghai.

Key Proposals • Corporate Governance Overhaul – Shareholders will vote on a special resolution to abolish the current three-member Supervisory Committee. Its monitoring functions would shift to the Board’s Audit Committee, and corresponding amendments to the Articles of Association, Rules of Procedure for Shareholders’ Meetings and Board Meetings are proposed. • New Investment Framework – An ordinary resolution seeks approval of a comprehensive “Management System for External Investments” that delineates decision-making thresholds. Investments exceeding 25% of total assets, profits, revenue, market capitalisation or issued shares require shareholder approval; those above 5% but below 25% need Board approval; smaller transactions fall under delegated authority to the chairman or management. • Dividend – The Board recommends no interim dividend for the six months ended 30 June 2026, citing current earnings and cash-flow conditions.

Meeting & Administrative Details • Record Date – Shareholders on register as at 28 September 2026 are entitled to vote. • Book Closure – Register of members closes 23–28 September 2026; share transfers must be lodged by 4:30 p.m. on 22 September 2026. • Proxy Deadline – Forms of proxy must reach Tricor Investor Services or the company’s PRC office by 10:00 a.m. on 27 September 2026. • Voting Method – All resolutions will be decided by poll.

If approved, the governance revamp would take effect immediately, with existing Supervisors ceasing office and the Audit Committee assuming oversight responsibilities.
