MoneyMax proposes 1-for-3 bonus issue totalling up to 318.5 million shares

MoneyMax Financial Services Ltd. announced on Sep, 8 2026 that it plans to undertake a bonus issue of up to 318.477 million new ordinary shares on the basis of one bonus share for every three existing shares held on a record date to be fixed later. Fractional entitlements will be disregarded.

The issue will enlarge the company’s share capital from 955.432 million shares to as many as 1.273 billion shares, representing an increase of about 33% over the current base and roughly 25% of the post-issue total. The bonus shares will be allotted fully paid at no consideration and will rank pari passu with existing shares, except they will not qualify for distributions declared before their allotment.

MoneyMax said the distribution will be made under the share-issue mandate approved at the company’s Apr, 28 2026 annual general meeting, which allows up to 50% of its then-issued share capital, or 468.750 million shares, to be issued on a pro-rata basis. No shares have been issued under that mandate to date, so the planned bonus shares fall within the authorised limit.

The company will seek approval from the Singapore Exchange Securities Trading Ltd. for the listing and quotation of the bonus shares on the Mainboard. MoneyMax noted that, based on the lowest daily weighted average price of S$0.7343 in the month before the announcement, the theoretical ex-bonus price would be about S$0.5507, comfortably above the SGX’s S$0.50 minimum.

Management said the exercise is intended to align the share capital with the group’s growth, reward shareholders for their support and improve trading liquidity by increasing the number of shares in circulation.

Shareholders and investors were advised to exercise caution when dealing in the company’s shares as the bonus issue remains subject to regulatory approval.
