Hengrui Pharma Sets 24 Sep 2026 EGM to Vote on Dual Employee Share Schemes and 10% H-Share Buyback Mandate

Jiangsu Hengrui Pharmaceuticals Co., Ltd. (“Hengrui Pharma”) has issued the proxy form for its 2026 First Extraordinary Shareholders’ Meeting (EGM), scheduled for 2:30 p.m. on Thursday, 24 September 2026 at No. 1288 Haike Road, Pudong New Area, Shanghai.

Key proposals to be tabled:

1. 2026 A-Share Employee Stock Ownership Scheme • Formal adoption of a new employee stock ownership plan (ESOP) for A-share holders. • Approval of the Administrative Measures governing the scheme. • Authorization for the Board to execute and manage all related matters.

2. 2026 H-Share Incentive Scheme • Adoption of a separate share-based incentive programme for H-share participants. • Delegation of authority to the Board and/or an Administrator to handle implementation details.

3. H-Share Repurchase Mandate • A special resolution seeks shareholder approval to grant the Board a general mandate to repurchase up to 10% of the total H-shares in issue (excluding any treasury shares) as of the date the resolution is passed.

Voting structure:

• Each fully paid share carries one vote. • Shareholders may appoint one or more proxies; the Chairman of the Meeting will act as proxy if none is designated. • Completed proxy forms must be lodged with Tricor Investor Services Limited by 2:30 p.m. on Wednesday, 23 September 2026 (Hong Kong time).

The EGM will decide whether Hengrui Pharma can proceed with the dual share-based incentive plans and the share buyback authority, all of which aim to align employee interests with long-term corporate objectives and provide flexibility in capital management.
