Anhui Expressway Company Limited has nominated Mr Pan Ping—an attorney with more than 40 years’ experience in legal and securities practice—as a candidate for independent non-executive director (INED). The proposal follows the resignation of Mr Zhang Jianping, who has served as an INED for six consecutive years and will step down once the new appointment is confirmed.

The nomination was approved by the board on 8 September 2026 and will be submitted for shareholder approval at an upcoming extraordinary general meeting (EGM). If elected, Mr Pan will serve from the date of the EGM resolution until the end of the company’s 10th board term.

Key background on Mr Pan: • Born in 1962; law graduate of East China University of Political Science and Law (1984). • Over four decades of legal experience, including securities law since 1993. • Senior partner at Anhui Antaida Law Firm and long-standing legal adviser to multiple listed companies. • Current independent director roles at Anhui Heryi Pharmaceutical Co., Limited (Beijing Stock Exchange, since May 2023) and Anhui ANLI Material Technology Co., Ltd. (Shenzhen ChiNext, since April 2025). • Confirms full compliance with Hong Kong Listing Rules on independence and no shareholding, financial or familial ties with Anhui Expressway or its connected persons.

Upon appointment, Mr Pan will enter into a service contract and receive an annual director’s fee of RMB0.10 million (approximately USD13,700), in line with the company’s remuneration policy.
