YAN PALACE Repurchases 0.40 Million H Shares in August, Treasury Stock Rises to 4.20 Million

XIAMEN YAN PALACE BIRD’S NEST INDUSTRY CO., LTD. (YAN PALACE) filed its Monthly Return for Equity Issuer with Hong Kong Exchanges and Clearing Limited for the period ended 31 August 2026. The filing details a continuation of the group’s on-market share-buyback programme and reconfirms compliance with Hong Kong’s public-float requirements.

YAN PALACE repurchased 397,600 H shares (approximately 0.40 million shares) between 20 and 31 August 2026, subsequently holding them as treasury shares. As a result, the number of issued H shares (excluding treasury stock) declined to 461.30 million from 461.69 million at end-July, while treasury shares increased to 4.20 million. The buybacks represented around 0.09% of the company’s total issued share capital of 465.50 million shares.

Registered share capital remained unchanged at 465.50 million shares with a par value of RMB 0.2 each, equivalent to RMB 93.10 million. No new shares, options, warrants, or convertible securities were issued during the month, and the company reported no unlisted shares following the full conversion of 136.58 million shares into H shares completed on 20 December 2024.

Despite the additional treasury shares, YAN PALACE confirmed that its public float continues to meet the Main Board’s minimum 25% requirement as of 31 August 2026. The board further affirmed that all buyback transactions were properly authorised and executed in compliance with Hong Kong listing rules and relevant regulations.

The latest disclosure follows earlier updates on the company’s H-share full-circulation plan announced in 2024 and signals ongoing capital-management activity without changes to the authorised—or, for PRC issuers, registered—share capital base.
