BJ Sports & Ent Completes 10-to-1 Share Consolidation, Shrinks Outstanding Shares to 168.96 Million

Beijing Sports and Entertainment Industry Group Limited (abbr. BJ Sports & Ent) filed its Monthly Return for Equity Issuer for August 2026, confirming the completion of a 10-for-1 share consolidation that materially altered its share structure without changing aggregate capital.

The consolidation, effective 24 August 2026, merged every ten ordinary shares of HKD 0.005 par value into one consolidated share of HKD 0.05. As a result, authorised share capital remains unchanged at HKD 20.00 million, while the number of authorised shares fell from 4.00 billion to 0.40 billion.

Issued share capital experienced a corresponding adjustment: • End-July balance: 1.69 billion shares • Net decrease during August: 1.52 billion shares (solely from the consolidation) • End-August balance: 168.96 million shares outstanding

BJ Sports & Ent confirmed that it meets the Main Board’s minimum 25% public-float requirement. The company held no treasury shares before or after the transaction.

No new shares were issued, no treasury shares were repurchased or cancelled, and no options, warrants, or convertibles were exercised during the month. Under the 18 June 2021 Share Option Scheme, 14.08 million shares remain available for future grants; no options are currently outstanding.

The company secretary affirmed compliance with all Hong Kong Listing Rules, corporate approvals, and regulatory filings related to the share consolidation and share capital movements.
